Pilot Agreement
Note: GreenPilot AI is currently in pre-incorporation pilot stage. This agreement is entered into by Richard Schmitz, trading as GreenPilot AI, based in Lisbon, Portugal. The legal obligations set out in this agreement apply in full regardless of incorporation status. Company details will be updated upon formal incorporation.

Together referred to as "the Parties." This Pilot Agreement sets out the terms under which GreenPilot AI will deliver a read-only AWS cloud optimization assessment to the Customer.
2. Pilot Overview
The GreenPilot pilot is a structured, read-only assessment of the Customer's AWS environment. It is designed to identify cost savings opportunities, estimate cloud-related carbon emissions, and surface governance observations — without modifying any cloud resources or executing any changes.
The pilot is delivered in three phases:

Total pilot duration: up to 30 days from the date IAM access is confirmed. Extensions may be agreed in writing between the Parties.
3. Deliverables
GreenPilot AI will deliver
- A written AWS optimization assessment report in PDF format
- A ranked list of savings opportunities, ordered by estimated financial impact
- Estimated cloud-related carbon emissions based on AWS usage data and regional electricity grid intensity
- Governance and configuration observations relevant to the Customer's AWS environment
- One review session (video call or written Q&A) to walk through findings
- For each recommended action: a description of the action, expected impact, and manual rollback guidance
GreenPilot AI will NOT do during the pilot
- Modify, start, stop, scale, or delete any AWS resource
- Execute any optimization action without explicit written approval from the Customer
- Access application-level data, database contents, or end-user personal data within the Customer's AWS workloads
- Store long-term AWS credentials beyond what is required to complete the assessment
- Share the Customer's AWS data or findings with any third party outside the sub-processors listed in the DPA
4. Customer Responsibilities
To enable GreenPilot AI to deliver the pilot assessment, the Customer agrees to:
- Create a read-only IAM role in the agreed AWS account(s) using the permissions list provided by GreenPilot AI before onboarding
- Provide GreenPilot AI with the IAM role ARN or API credentials as agreed
- Ensure AWS Cost Explorer is enabled on the relevant account(s) before the assessment begins
- Designate one internal contact responsible for the pilot engagement
- Sign the Data Processing Agreement (DPA) before providing any AWS access
- Respond to reasonable requests for clarification within 3 business days
- Attend or arrange attendance at the findings review session
5. AWS IAM Permissions
GreenPilot AI requires the following read-only AWS IAM permissions to conduct the assessment. The Customer reviews and configures the IAM role before granting access. No write or administrative permissions are requested.

The Customer may restrict permissions further. GreenPilot AI will confirm whether the assessment remains deliverable within any restricted scope before onboarding proceeds.
6. Fees
The pilot assessment is provided at no charge to the Customer. There is no obligation to purchase any paid service as a result of participating in the pilot.
Any future paid engagement will be the subject of a separate written agreement between the Parties.
7. Intellectual Property
The assessment report and all findings delivered to the Customer are the property of the Customer. GreenPilot AI retains ownership of its methodology, tooling, software, and any proprietary processes used to conduct the assessment. Nothing in this agreement transfers ownership of GreenPilot AI's intellectual property to the Customer.
8. Confidentiality
Each party agrees to keep confidential all non-public information received from the other party in connection with this pilot, including AWS account data, business information, and assessment findings. Neither party will disclose such information to any third party without prior written consent, except as required by law or to fulfil obligations under this agreement.
Confidentiality obligations survive termination of this agreement for a period of two years.
9. Data Processing
The processing of personal data in connection with this pilot is governed by the Data Processing Agreement (DPA), which must be signed before AWS access is provided. The DPA is incorporated by reference into this Pilot Agreement.
10. Warranties and Disclaimers
GreenPilot AI warrants that it will conduct the assessment with reasonable skill and care, using read-only access as specified, and in compliance with the terms of this agreement and the DPA.
GreenPilot AI does not warrant that:
- Any specific level of cost savings will be achieved — savings estimates are projections based on usage data and are not guaranteed
- Carbon emissions estimates are exact — estimates are derived from usage data and regional electricity grid intensity signals and carry inherent uncertainty
- The assessment will identify all optimization opportunities in the Customer's AWS environment
- Implementing recommendations will not cause service disruption — the Customer is responsible for evaluating each recommendation before approval
GreenPilot AI's total liability under this agreement is limited to direct damages only and shall not exceed EUR 500. GreenPilot AI is not liable for indirect, consequential, or incidental loss arising from the pilot.
11. Termination
Either party may terminate this agreement at any time by giving written notice to the other party. No minimum notice period is required.
The Customer may revoke GreenPilot AI's AWS access at any time without notice by deleting the IAM role or rotating credentials. GreenPilot AI commits to ceasing data collection immediately upon access revocation.
Upon termination, GreenPilot AI will return or delete all Customer data in accordance with the DPA. Any assessment report already delivered to the Customer at the point of termination remains the Customer's property.
12. Governing Law and Jurisdiction
This agreement is governed by the laws of Portugal. Any dispute arising from this agreement will be subject to the exclusive jurisdiction of the courts of Lisbon, Portugal.
13. Entire Agreement
This Pilot Agreement and the accompanying DPA constitute the entire agreement between the Parties with respect to the pilot assessment and supersede all prior discussions, representations, or agreements relating to the same subject matter. Amendments must be made in writing and signed by both Parties.
14. Signatures
By signing below, the Parties agree to the terms of this Pilot Agreement. This agreement takes effect on the date of the last signature.
